DEFINITION: PROXY
A representative; an agent; a document appointing a representative. A proxy is a person who is designated by another to represent that individual at a meeting or before a public body. It also refers to the written authorization allowing one person to act on behalf of another.

“The proceedings of the meetings of the Association shall be governed by and conducted according to Robert’s Rules of Order unless provided otherwise within these by-laws.” (ref. OCL By-laws revised January 2020)
“A member may vote in person or, by proxy in the form of a record executed by the member or a duly authorized attorney-in-fact. No proxy shall be valid after eleven months from the date of its execution, unless otherwise provided in the proxy.” (ref. VOTING.
Board members are offered to assign a proxy for either a particular meeting or for a period of time not to exceed one year.
Proxies may be revoked at any time, either in writing or by attending a board meeting in person.
