Your Vote counts! If unable to attend the upcoming OCL Board meeting, authorize a Proxy to carry on the good work of OCL on your behalf

DEFINITION: PROXY

A representative; an agent; a document appointing a representative. A proxy is a person who is designated by another to represent that individual at a meeting or before a public body. It also refers to the written authorization allowing one person to act on behalf of another.

ENABLING LEGISLATION FOR USE OF PROXY WITHIN OLYMPIC CULINARY LOOP BOARD – ARTICLE XIII. PARLIAMENTARY PROCEDURE

“The proceedings of the meetings of the Association shall be governed by and conducted according to Robert’s Rules of Order unless provided otherwise within these by-laws.” (ref. OCL By-laws revised January 2020)

“A member may vote in person or, by proxy in the form of a record executed by the member or a duly authorized attorney-in-fact. No proxy shall be valid after eleven months from the date of its execution, unless otherwise provided in the proxy.” (ref. RCW 24.03.085(2) – Washington’s Nonprofit Corporation’s Act) WASHINGTON NONPROFIT CORPORATION ACT)

VOTING.

Board members are offered to assign a proxy for either a particular meeting or for a period of time not to exceed one year.

Proxies may be revoked at any time, either in writing or by attending a board meeting in person.
